Terms of Service

Acceptance

These Terms of Service (“Terms”) govern your access to and use of the Masterminds AI website and platform (the “Service”), operated by Masterminds AI (“Masterminds AI,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

The Service

Masterminds AI provides The Agentic Product OS, a platform where product teams run AI Master Agents across the product lifecycle, including planning, research, design, and execution workflows. The Service is offered during a beta period, and certain capabilities are made available behind feature flags. Beta features are provided on an “as is” basis and may change, be limited, or be removed at any time.

Accounts and Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

Subscriptions, Plans, and Billing

During the beta period, access to the Service may be provided free of charge or under introductory terms. Pricing, plans, and billing terms may be introduced or updated as the Service evolves. Where paid plans apply, the applicable fees, billing cycle, and payment terms will be presented to you before you incur any charge, and your continued use after such terms take effect constitutes acceptance.

Acceptable Use

You agree not to:

• use the Service to violate any law or infringe the rights of others;
• upload or generate unlawful, harmful, or malicious content, or content you are not authorized to use;
• reverse engineer, decompile, or attempt to derive the source code or underlying models of the Service, except to the extent permitted by law;
• bypass or attempt to bypass security controls, rate limits, usage limits, or access restrictions;
• interfere with or disrupt the integrity or performance of the Service.

Customer Content and Intellectual Property

You retain all rights to the content you submit to or create within the Service (“Customer Content”). You grant Masterminds AI a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Customer Content solely to operate, secure, and provide the Service to you, including sending content to third-party subprocessors to deliver the features you request. Masterminds AI and its licensors retain all rights in the Service, including its software, models, and trademarks.

AI Output Disclaimer

The Service uses AI to generate output. AI-generated output may be inaccurate, incomplete, or otherwise unreliable, and may not be appropriate for every situation. You are responsible for reviewing and verifying AI-generated output before relying on it, and you should not make business, legal, financial, or other consequential decisions based solely on such output.

Third-Party Services

The Service integrates third-party services, including LLM providers (Anthropic, OpenAI, and Google) and an optional, user-authorized read-only Google Drive connector. Your use of these integrations may be subject to the third party’s terms and policies, including Google’s policies for connected accounts. You can revoke Google Drive access at any time from your Google Account permissions or by contacting contact@masterminds.com.ai. Our handling of personal data is described in our Privacy Policy.

Confidentiality

Each party may have access to non-public information of the other. The receiving party will use such information only to perform under these Terms and will protect it with reasonable care. Customer Content is treated as your confidential information and is processed in accordance with our Privacy Policy.

Availability and Beta Disclaimer

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. We may modify, suspend, or discontinue all or part of the Service, particularly beta features, at any time.

Limitation of Liability and Indemnity

To the maximum extent permitted by law, Masterminds AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or related to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim, or, where the Service was provided free of charge, a total of one hundred Brazilian reais (R$100). You agree to indemnify and hold Masterminds AI harmless from claims arising out of your Customer Content or your violation of these Terms.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or comply with law. Upon termination, your right to use the Service ceases, and we may delete Customer Content in accordance with our data retention practices, subject to any legal obligations.

Governing Law

These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-laws principles. The courts of the Judicial District of São Paulo, State of São Paulo, Brazil, will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, subject to any mandatory consumer protection venue rights.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
